Terms of Service

1. Agreement to terms

By accessing or using FleetSQL, a service provided by Asset Track Sp. z o.o. ("Asset Track", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

FleetSQL is a fleet data pipeline that extracts telemetry from Wialon GPS systems into PostgreSQL databases. Our services include:

• Data Extraction — Daily automated extraction of GPS telemetry, trips, fuel events, driver behavior, and geofence data from Wialon
• Multi-Tenant Databases — Isolated PostgreSQL database per client with full SQL access
• Daily Sync — Configurable daily sync schedule with historical data backfill
• SQL Access — Direct PostgreSQL connection for queries, reporting, and BI tool integration

4. User accounts

When you create an account with us, you must:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5. Wialon integration

FleetSQL connects to your Wialon account using secure token-based authentication. By using FleetSQL, you:

• Authorize FleetSQL to access your Wialon fleet data for extraction
• Confirm you have the right to access and process the data
• Understand that FleetSQL is not affiliated with Wialon/Gurtam

6. Acceptable use

You agree not to:

• Use our services for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Attempt to gain unauthorized access to our systems
• Use our services to track individuals without proper consent
• Transmit malicious code or harmful content

7. Data and privacy

Your use of our services is also governed by our Privacy Policy. You are responsible for:

• Ensuring you have proper consent to collect and process data through our services
• Complying with applicable data protection laws (including GDPR)
• Maintaining appropriate security measures for your data

8. Payment terms

For paid subscription plans:

• All payments are processed by Paddle.com Market Limited, who acts as our Merchant of Record
• Fees are as specified on our pricing page or in your service agreement
• Payment is due according to the agreed payment schedule
• Late payments may result in service suspension
• All fees are exclusive of VAT unless otherwise stated
• Refunds are subject to our Refund Policy

9. Consumer rights

If you are a consumer in the European Union or United Kingdom, you have statutory rights that cannot be waived or limited by contract. These include:

• A 14-day right of withdrawal for your initial subscription purchase, as detailed in our Refund Policy
• Protection under mandatory consumer protection laws of your country of residence
• Rights regarding digital content and services under applicable consumer law

Nothing in these Terms affects your statutory consumer rights.

10. Service level

We strive to maintain high availability of FleetSQL. We are not liable for interruptions due to:

• Scheduled maintenance (with reasonable notice)
• Force majeure events
• Wialon platform availability issues
• Your equipment or network issues

11. Limitation of liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties beyond those required by law
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the fees paid by you in the 12 months preceding the claim

Nothing in this section limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable consumer protection law.

12. Indemnification

You agree to indemnify and hold harmless Asset Track from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

Either party may terminate the service agreement:

• With written notice as specified in your subscription terms
• Immediately for material breach
• Upon insolvency or bankruptcy of either party

Upon termination, you must cease using our services and we may delete your data after the retention period specified in your agreement.

14. Changes to terms

We may modify these Terms at any time. We will notify you of significant changes via email or through our services. Continued use after changes constitutes acceptance of the modified Terms.

15. Governing law

These Terms are governed by the laws of Poland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

If you are a consumer resident in the European Union or United Kingdom, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions. You may bring legal proceedings in the courts of your country of residence.
